Inzo — Terms of Service

Legal notice: These terms have been drafted as a comprehensive starting point based on UK SaaS best practice and UK GDPR requirements. They should be reviewed by a qualified UK solicitor before being published and relied upon commercially.


Part A — Website Terms of Use

These terms apply to all visitors of inzo.hrzn.co.uk, whether or not you have an account.


1. Who We Are

Inzo is a product of HRZN Ltd, a company registered in England and Wales ("HRZN", "we", "us", "our"). Our registered office is in London, United Kingdom.

When you use the Inzo website at inzo.hrzn.co.uk (the "Site"), you agree to these Terms of Service. If you do not agree, please do not use the Site.


2. Using the Site

You may use the Site for lawful purposes only. You must not:

  • Use the Site in any way that violates applicable UK or international laws or regulations
  • Attempt to gain unauthorised access to any part of the Site, our servers, or any connected systems
  • Transmit any unsolicited or unauthorised advertising or promotional material
  • Knowingly introduce viruses, trojans, or other malicious or harmful material
  • Scrape, crawl, or systematically extract data from the Site without our prior written consent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to suspend or restrict access to the Site at any time without notice.


3. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, and software — is owned by or licensed to HRZN Ltd and is protected by UK and international copyright, trade mark, and intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any Site content without our express written permission. The HRZN and Inzo names, logos, and brand marks are trade marks of HRZN Ltd and may not be used without authorisation.


4. Links to Third-Party Sites

The Site may contain links to third-party websites. These links are provided for your convenience only. We have no control over, and accept no responsibility for, the content or practices of any linked site. Linking to a third-party site does not constitute an endorsement by HRZN.


5. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, HRZN disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Site will be uninterrupted, timely, secure, or error-free
  • Any results obtained from use of the Site will be accurate or reliable
  • Any errors on the Site will be corrected

6. Limitation of Liability

To the fullest extent permitted by applicable law, HRZN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Site.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.


7. Governing Law

These Website Terms of Use are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


Part B — Platform Terms of Service

These terms apply to registered users of the Inzo platform, including all subscription tiers.


8. Acceptance of Terms

By creating an account, you confirm that:

  • You are at least 18 years of age
  • You have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent
  • You have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy
  • If you are agreeing on behalf of a company or other legal entity, you have the authority to bind that entity

If you do not meet these requirements, you must not create an account or use the Inzo platform.


9. The Service

Inzo is an AI-powered brand companion platform that helps startups and scaling businesses build, manage, and evolve their brand systems ("the Service" or "the Platform"). The Service includes:

  • Brand Hub — a central repository for brand assets, guidelines, and documentation
  • Inzo AI Companion — an AI-powered strategic guidance tool built on HRZN's Future-Focused Branding methodology
  • Brand Impact Matrix — industry-level brand intelligence and personalised analysis (paid tiers)
  • Any related tools, features, integrations, and services made available through the Platform

The specific features available to you depend on your subscription tier. We reserve the right to modify, add, or remove features at any time, with reasonable notice where changes materially affect your use.


10. Accounts and Registration

10.1 Account Creation

To access the Platform, you must register for an account using a valid email address and a secure password. You are responsible for ensuring that all information you provide during registration is accurate, complete, and kept up to date.

10.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@hrzn.co.uk if you suspect any unauthorised use of your account.

We cannot be held liable for any loss or damage arising from your failure to maintain the security of your account credentials.

10.3 One Account Per Organisation

Each company or organisation should operate under a single account. If you require multiple users to access the Platform, this is managed through our team seat functionality (see Section 13).


11. Subscriptions and Payment

11.1 Subscription Tiers

The Platform is available on the following subscription basis:

Annual billing options are available at a discounted rate. Full feature details for each tier are set out on our pricing page and may be updated from time to time.

11.2 Billing and Payment

All payments are processed securely through Stripe. By providing your payment details, you authorise us to charge your payment method on a recurring basis at the start of each billing period.

Prices are displayed exclusive of VAT. VAT will be applied at the applicable UK rate and shown at checkout.

We reserve the right to change our pricing with at least 30 days' written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

11.3 Token Top-Ups

Where your monthly AI token allowance is exhausted, you may purchase additional tokens through the Platform. Token top-up purchases are non-refundable and any unused purchased tokens expire 12 months from the date of purchase. Monthly included tokens reset at the start of each billing period and do not roll over.

11.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment remains unsuccessful, your account may be downgraded to the Free tier and access to paid features suspended until payment is resolved.

11.5 Taxes

You are responsible for all applicable taxes, duties, and levies arising from your use of the Service, other than VAT which we will account for as required by UK law.


12. Free Tier

The Free tier is provided without charge and without any guarantee of continued availability. We reserve the right to modify or discontinue the Free tier at any time with 30 days' notice. Free tier users do not have access to AI Companion features.


13. Team Members and Seat Roles

13.1 Editor Seats

Editor seats grant full access to the Platform's features within your subscription tier. The number of included editor seats depends on your subscription plan. Additional editor seats may be purchased.

13.2 Member Seats

Member seats provide view-only access to your Brand Hub and selected assets. Member seats are available at no additional cost and are unlimited. Members cannot make changes to brand assets, settings, or AI features.

13.3 Account Owner Responsibility

As the account owner, you are responsible for all activity carried out by users you invite to your workspace. You must ensure all invited users comply with these Terms of Service. You must remove users promptly when they no longer require access.


14. AI Features and Token Usage

14.1 AI-Powered Features

The Inzo AI Companion uses large language models provided by Anthropic (Claude) to deliver brand guidance, analysis, and recommendations. The AI features are intended as a strategic thinking partner and supplement to human expertise — they do not constitute professional legal, financial, marketing, or business advice.

14.2 AI Output Disclaimer

AI-generated outputs may contain inaccuracies, errors, or content that requires human review. You are solely responsible for evaluating and acting upon any AI-generated content. HRZN does not warrant the accuracy, completeness, or suitability of any AI output for any particular purpose.

14.3 Token Allowances

AI interactions consume tokens from your monthly allowance. Token usage is tracked at the company level and shared across all editor seats. We display your current usage in the Platform. We will notify you when your allowance is running low. We are not responsible if your allowance runs out before the end of your billing period.

14.4 AI Training

We do not use your proprietary brand data or conversation content to train AI models. Anonymised, aggregated, and non-identifiable usage patterns may be used to improve the Service.

14.5 Industry Intelligence

The Brand Impact Matrix feature uses aggregated, anonymised data across users within the same industry sector to generate sector-level insights. Individual user data is never shared with or attributed to other users.


15. Your Content and Intellectual Property

15.1 Your Content

You retain full ownership of all brand assets, documents, materials, and other content you upload to or create within the Platform ("Your Content"). By uploading Your Content, you grant HRZN a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the Service to you.

15.2 Our Rights in the Service

We retain all rights, title, and interest in the Platform itself, including the Future-Focused Branding methodology, the Inzo AI system prompts and guidance frameworks, all software, interfaces, and systems that make up the Service.

15.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free right to use that feedback in any way we see fit, without any obligation to you.

15.4 Content Standards

You must not upload or share through the Platform any content that:

  • Is unlawful, defamatory, obscene, offensive, or discriminatory
  • Infringes any third-party intellectual property rights
  • Contains malicious code or software
  • Violates any applicable laws or regulations

We reserve the right to remove content that violates these standards without notice.


16. Acceptable Use

You agree to use the Platform only for lawful business purposes in accordance with these Terms. You must not:

  • Attempt to reverse-engineer, decompile, or extract source code from the Platform
  • Use the Service to develop a competing product or service
  • Circumvent any usage limits, access controls, or security measures
  • Share your login credentials with anyone outside your authorised team
  • Use the AI Companion to generate content that is deliberately misleading, harmful, or unlawful
  • Resell or sublicence access to the Platform without our prior written consent
  • Use automated scripts, bots, or tools to access or scrape the Platform
  • Attempt to manipulate or abuse the token system

17. Data Protection and Privacy

17.1 UK GDPR Compliance

Both parties agree to comply with all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

17.2 Roles

For personal data you upload to the Platform (such as information about your team members), HRZN acts as a data processor on your behalf, and you act as the data controller. For personal data you provide directly to us (such as your account information), HRZN acts as the data controller.

17.3 Privacy Policy

Our Privacy Policy, available at inzo.hrzn.co.uk/privacy, forms part of these Terms and sets out in full how we collect, use, store, and protect personal data. By using the Service, you confirm you have read and understood our Privacy Policy.

17.4 Data Processing Agreement

A Data Processing Agreement (DPA) is available upon request and may be required for certain enterprise or regulated use cases.


18. Confidentiality

Each party agrees to keep the other's confidential information (including commercial terms, technical information, and business data) strictly confidential and not to disclose it to any third party without prior written consent, except as required by law.

This obligation does not apply to information that is or becomes publicly known through no breach of this clause, or that was already known to the receiving party prior to disclosure.


19. Suspension and Termination

19.1 Termination by You

You may cancel your subscription at any time via your account settings or by contacting us at hello@hrzn.co.uk. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the period ends.

19.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You materially breach these Terms and fail to remedy the breach within 14 days of written notice
  • You fail to pay any amount due under these Terms
  • We have reasonable grounds to believe your use of the Service is causing harm to us, other users, or third parties
  • We are required to do so by law or regulatory authority

We may also terminate any account at any time with 30 days' notice for any other reason.

19.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease
  • You may export Your Content for a period of 30 days following termination, after which it may be permanently deleted
  • Any outstanding payment obligations remain due
  • Clauses that by their nature should survive termination (including intellectual property, liability, and governing law) will continue in force

20. Refund Policy

20.1 Subscription Payments

We do not offer refunds for subscription payments already charged, except where required by applicable consumer protection law. If you cancel part-way through a billing period, you retain access to paid features until the end of that period.

20.2 Annual Plans

If you are on an annual plan and wish to cancel within the first 14 days of your initial subscription (not renewal), you may request a full refund by contacting hello@hrzn.co.uk. After 14 days, annual subscriptions are non-refundable.

20.3 Token Top-Ups

Token top-up purchases are non-refundable once processed.


21. Service Availability and Changes

We aim to provide a reliable and high-quality service but do not guarantee uninterrupted availability. We may carry out maintenance from time to time and will endeavour to provide advance notice of planned downtime.

We reserve the right to modify or discontinue any feature or aspect of the Service at any time. Where a change materially reduces the functionality available to you on a paid plan, we will provide at least 30 days' notice.


22. Limitation of Liability

22.1 Cap on Liability

To the fullest extent permitted by law, HRZN's total aggregate liability to you in connection with the Service shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim; or (b) £500.

22.2 Excluded Losses

We shall not be liable for any: loss of profits, loss of revenue, loss of data, loss of goodwill, loss of business opportunity, indirect or consequential losses — whether arising in contract, tort (including negligence), or otherwise — even if we have been advised of the possibility of such losses.

22.3 Exceptions

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other matter for which liability cannot lawfully be excluded or limited under English law.


23. Indemnity

You agree to indemnify, defend, and hold harmless HRZN, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal costs) arising out of or in connection with: your use of the Service; Your Content; your breach of these Terms; or your violation of any applicable law or third-party rights.


24. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or via an in-platform notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.


25. General

25.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HRZN relating to the Service and supersede all prior agreements and understandings.

25.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

25.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

25.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any group company or in connection with a merger, acquisition, or sale of assets.

25.5 Third-Party Rights

These Terms do not create any rights enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999.

25.6 Force Majeure

Neither party shall be in breach of these Terms or liable for delay in performing, or failure to perform, any obligations if such delay or failure results from events beyond that party's reasonable control.


26. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
